The registry of corporations and entries is under the department of state in Puerto Rico, the department is given the responsibility of maintaining a public registry for a private legal organization operating within its territory. The corporation must file its annual report to the Registry of Corporations to the department of state, the deadline for submission is 15th April not-for-profit religious corporations are exempted from filing. The filing of reports is done electronically through the commonwealth of Puerto Rico portal.
Register corporation
To register a corporation, you need to know the type of corporation you are registering and they include the following:
Domestic corporations
These are created under the general corporation act of Puerto Rico. These are a corporation of Puerto Rico.
Foreign corporations
They are corporations created under the laws of other countries and other states of the United States. The department of state of the Commonwealth of Puerto Rico is responsible for authorizing corporations to operate and do business in Puerto Rico. The following documents are submitted by the corporation:
- Proof of existence whose native jurisdiction must be within 3 months
- The name and address of the registered agent in Puerto Rico
- Statement of the foreign corporation’s asset and liability
- The corporation’s business purpose in Puerto Rico
- Names and business addresses of the corporation’s current directors
- Another document of data that the corporation wishes to publish
Others
Other forms of corporations are:
Non-profit corporations
They must be either domestic or foreign, and the owner enjoys the economic benefit of its operation.
Profit corporations
They are domestic or foreign corporations, and the proceeds of their operation are used for the corporation.
Registration of marks and trade names
Before you apply trademarks and names, you need to search the PRTO’s database to see if the trademark or name that has been registered or involved for is similar to yours, and is used on related products or services. Click on search, and find the trade name, marks, and US deposit.
Document certification and filing of regulation
Under this section, the website of Puerto Rico, a registry of corporate and entities by certifying documents and filing of regulations. They provide specific services which are explained in the subsequent section.
Specific services
The following services are provided by the certification and regulation division:
- Certification of legislative and governor-signed laws and joint resolutions
- Registration and issuance of certificates of regulations rules and procedures of government agencies
- Authentication of signatures of public officials in documents that are used outside the region of Puerto Rico
- Some of the documents include the following:
- Birth, marriage, and death certificates
- Transfer of corpses, birds, animals, and medicines
- Credit transcription
- Diplomas
- Criminal record certificates
- Proxy
- Public Records
- They register signatures, sign, heading, and seal notary publics
- They are responsible for keeping a record of signatures and official seals of government officials
- Grants Puerto Rican citizen certificate.

Pricing
Each page of the copy of law and regulations is priced at one dollar per page, and it is available in the Listing of law area, if the division of certification is certifying the law, you are required to pay an extra charge of $3.
Certification of the documents
If the document is requested by a government agency, the head of the agency writes and signs a request to the listing law division. The list of laws division makes the available documents for official use for free.
To certify the copy of the law or resolution, you have to:
- Request for the document in the Listing of Laws division
- Acquire the internal revenue stamp for $3
- Take all these documents to the single service center
