The State of Goiás Board of Trade was established by Law No. 213 of July 12, 1900. The body was found a decade after the decree regulating the formation of corporations for commercial purposes was published. It is presently a federal agency with ties to the ministry of economy, foreign trade, and services. It is officially subject to the department of corporate registration and integration – DREI, a division of the state secretariat for trade and business.

Responsibilities of JUNTA
The board of trade of the jurisdiction of Goiás is in charge of overseeing and carrying out public registration services for promotional industries and associated matters in the state of Goiás, including the certification of acts relating to the formation, modification, abolishment, and extinction of large corporations, civil society organizations, statements of micro-enterprises, and local firms.

Transformation
In normative instruction, the act of transformation is defined as how a firm transitions from one formal type to another, irrespective of dissolution or bankruptcy.

Individual enterprise

Individual limited liability company
Since January 7, 2011, Law 12.441/11 has been in effect, amending the civil code and introducing a new type of organization, the limited liability sole proprietorship (Eireli). The amendment permits an entrepreneur who possesses all of the invested capital and has paid it to form a legal company without the involvement of a third party. This eliminates the necessity for the small-stakes partner, who is normally just in the partnership, to comply with the law.
Private limited liability corporation
The split of the invested capital into quotas is one of Ltda’s hallmarks. Each partner’s obligation is limited (thus the name) to the number of shares they own. The quota is the proportion of a partner’s contribution to the firm’s share equity. Only with the partners’ approval can a person who is not a partner of the company be one of the supervisors under the Ltd structure.
